Terms of Service

By accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, and our Licensing Terms. If you do not agree, please do not use the Service.

We may update these Terms from time to time. When we make material changes, we will notify you by updating the “Last updated” date above and, where practicable, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

You must be at least 16 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian.

When you create an account you agree to provide accurate, current and complete information and to keep your credentials confidential. You are responsible for all activity that occurs under your account. You must notify us immediately at hello@wholesaas.dev of any unauthorized use.

Wholesaas is a marketplace for production-ready SaaS code. The Service offers two tiers:

• Free Scripts — downloadable scripts, boilerplates and templates available at no cost, under the Wholesaas Commercial License.
• Premium Templates — full-stack builds and tools sold as one-time purchases at a fixed price, with a personal license key and commercial license.

We may add, modify or remove scripts and features at any time. Features marked “free forever” will remain free for existing users unless we are legally required to change them, in which case we will give reasonable notice.

All code available on the Service is licensed — it is not sold. Your rights to use downloaded scripts are governed by the Licensing Terms, which form part of these Terms. In short:

• Free scripts may be used in commercial and personal projects.
• You may modify, integrate and ship the code in your own products.
• You may not resell or redistribute the scripts themselves, in whole or in part, as standalone products.

Free scripts are available without payment. Premium templates are sold as one-time purchases at a fixed price displayed on the script page and at checkout. Prices are displayed in USD and exclude applicable taxes. There are no subscriptions and no recurring fees.

When you purchase a premium template, you receive a personal license key and keep the template and that license forever — there is nothing to cancel or renew. If you change your mind, you can request a refund within the first 14 days of your purchase; after 14 days, refunds are provided at our discretion for exceptional circumstances — contact support and we will respond within 5 business days.

A purchased license is for use only — it does not grant the right to resell or redistribute the script itself, as set out in the applicable license.

You agree not to misuse the Service, including but not limited to:

• Uploading, sharing or distributing content that is unlawful, harmful or infringing.
• Attempting to access accounts, systems or data you are not authorized to access.
• Reverse engineering, scraping, or otherwise attempting to extract the Service beyond what is reasonably needed to use downloaded scripts.
• Using the Service to build competing marketplaces or to redistribute scripts as standalone products.
• Interfering with the operation, security or availability of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms, without notice and at our sole discretion.

The Wholesaas name, logo, website design, and original script content are owned by Wholesaas or its contributors and are protected by intellectual property laws. Except for the licenses granted under the Licensing Terms, no rights are granted to you.

If you submit or contribute a script to the marketplace, you grant us a non-exclusive, worldwide, royalty-free license to host, display and distribute it, and you confirm that you have the rights to do so.

Scripts may depend on third-party libraries governed by their own licenses (such as MIT or Apache-2.0). You are responsible for reviewing and complying with the licenses of any third-party dependencies you use.

The Service may contain links to third-party websites. We are not responsible for the content, policies or practices of those websites.

THE SERVICE AND ALL SCRIPTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCRIPTS WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHOLESAAS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

You may stop using the Service at any time and delete your account from your settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued operation would expose us or other users to risk. Upon termination, licenses granted to you for scripts already downloaded continue to apply.

We may revise these Terms to reflect changes to the Service, the law, or our business practices. Material changes will be announced via the website and, where appropriate, by email. The “Last updated” date at the top of this page reflects the most recent revision.

These Terms are governed by the laws of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising out of these Terms will be resolved in the state or federal courts located in Delaware.
